Cloview Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Cloview website, web application, and related services (collectively, “the Service”). By accessing or using Cloview, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Cloview is operated by Novixys Software, Inc., a Delaware corporation (“Cloview,” “we,” “our,” or “us”).
1. Eligibility and Business Use
Cloview is designed for business use by licensed insurance brokers, agencies, and their staff. By using the Service, you represent that you:
- Are at least 18 years old,
- Have the authority to enter into these Terms on behalf of your organization, and
- Will use Cloview only for lawful business purposes.
2. Description of the Service
Cloview provides cloud-based software that helps health insurance brokers and agencies reconcile carrier commission payments, detect mismatches, and generate financial reports.
We may add, modify, or remove features at any time. We will make reasonable efforts to notify users before significant changes take effect.
3. Account Registration
You must create an account to use most features of Cloview. You agree to:
- Provide accurate and complete information,
- Maintain the confidentiality of your credentials, and
- Notify us immediately of any unauthorized access to your account.
Each organization designates an Administrator, who manages billing, user access, and seat assignments.
4. Pilot Access and Beta Features
If you are participating in the pilot program:
- Access is free during the evaluation period.
- Pilot features may change, break, or be discontinued at any time.
- We may use anonymized usage data and feedback to improve the Service.
- At the end of the pilot, you may choose to convert to a paid subscription or have your data deleted.
Pilot access is offered as-is without warranties.
5. Subscriptions and Billing
After the pilot, the Service is offered on a subscription basis:
- Plans: Each plan includes a set number of users (“seats”). Extra users incur additional monthly fees.
- Billing: Fees are charged automatically based on your selected plan and billing cycle.
- Taxes: You are responsible for any applicable taxes.
- Non-payment: If payment fails and remains unresolved after notice, we may suspend or terminate access.
Pricing and plan features may change with 30 days’ notice.
6. Your Data and Ownership
You retain full ownership of all data you upload to Cloview (“Customer Data”). We do not claim rights to your data beyond what is necessary to:
- Provide and maintain the Service,
- Prevent fraud or abuse, and
- Comply with legal obligations.
You can request deletion or export of your data within 30 days after termination of your account.
7. Confidentiality
Both you and Cloview agree to protect any confidential information shared during the use of the Service, including business, financial, or client information. Neither party may disclose such information to third parties without written consent, except as required by law.
8. Feedback
We welcome feedback and suggestions. By submitting ideas, comments, or feature requests, you grant Cloview a non-exclusive, royalty-free, perpetual license to use and incorporate them into the Service without compensation or attribution.
9. Acceptable Use
You agree not to:
- Upload unlawful, harmful, or infringing content.
- Attempt to reverse-engineer, copy, or disrupt the Service.
- Access another organization’s data without authorization.
- Use Cloview to send spam or malicious content.
- Circumvent security or access controls.
We reserve the right to suspend or terminate accounts violating these terms.
10. Third-Party Services
The Service may integrate with third-party applications (such as Stripe, AWS, or Google). These services are governed by their own terms and privacy policies. We are not responsible for the practices or reliability of third-party services.
11. Data Security
We take reasonable technical and organizational measures to protect Customer Data, including:
- Encryption in transit and at rest,
- Access controls for authorized personnel only,
- Continuous monitoring and backups.
No system is 100% secure; you acknowledge this risk by using the Service.
12. Service Availability
We aim for 99.5% uptime, excluding scheduled maintenance or events beyond our control (such as network outages or force majeure). In case of extended downtime, we will communicate updates through our status page or by email.
13. Termination
You may cancel your subscription or pilot account at any time by contacting support@cloview.com. We may suspend or terminate access if you violate these Terms, fail to pay fees, or misuse the Service.
Upon termination:
- We will retain your data for up to 30 days for recovery or export.
- After that period, your data may be deleted or anonymized.
14. Intellectual Property
All intellectual property rights in the Cloview platform — including the software, design, and brand elements — remain owned by Novixys Software, Inc. You are granted a limited, non-exclusive, revocable license to use Cloview for your internal business purposes.
You may not copy, modify, or resell any part of the Service.
15. Disclaimer of Warranties
The Service is provided “as is” and “as available.” We make no guarantees about:
- Accuracy, completeness, or reliability of the Service,
- Uninterrupted or error-free operation, or
- Fitness for your specific business needs.
Use of Cloview is at your own risk.
16. Limitation of Liability
To the fullest extent permitted by law:
- Cloview shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost revenue, data, or profits.
- Our total aggregate liability under these Terms shall not exceed the amount you paid to use the Service in the 12 months preceding the claim.
Some jurisdictions do not allow such exclusions, so certain limitations may not apply to you.
17. Indemnification
You agree to indemnify and hold harmless Cloview and its officers, directors, and employees from any claims, damages, or expenses arising from:
- Your use of the Service,
- Your violation of these Terms, or
- Data you upload or process through Cloview.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware.
19. Changes to These Terms
We may update these Terms periodically. If we make material changes, we’ll notify you by email or through the Service at least 30 days before the new Terms take effect.
Your continued use of Cloview after changes take effect means you accept the updated Terms.
